Second Shooter Contract

This agreement is between Kay - Rae Photographer (Photographer), and _____[NAME]_____ (Contractor), an independent contractor whose full name, and phone number appear at the bottom of this form.

1. EVENT: Contractor agrees to work for Photographer as an independent contractor, providing photography-related services on ______(DATE)_________ at ________(PLACE)___________.

2. ASSIGNMENT:
Thank you for considering Kay - Raé Photography for your professional assignments. We would like to clarify that all assignments, including future ones, will be contracted on a case-by-case basis. Kay - Raé Photography does not guarantee any minimum number of contracts or hours to the contractor. All work performed by the Contractor for Kay - Raé Photography will be governed by the covenants of our agreement.

3. Independent Contractor Agreement

Kay - Rae Photography and the Contractor mutually agree that the Contractor is providing services as an independent contractor and is not considered an employee of Kay - Rae Photography. This Agreement explicitly does not establish an employer-employee relationship between the two parties.
The Contractor also accepts full responsibility for their federal and state taxes, withholding, social security, insurance, and any other benefits as may be required by law.

4. Payment Terms for Contractors


At Kay - Raé Photography, we believe in fair and individualized payment arrangements for each contractor. The payment structure is based on a base amount, which varies according to the contractor's experience and the nature of the assignment.
Upon successful transfer of all photos/cards to the photographer as per the agreed-upon terms, the contractor will receive the previously determined payment amount. We value the contributions of our team members and ensure timely and transparent payment processes to maintain a professional and collaborative working relationship.

5. Transfer of photos and Memory Cards


As per the agreement, the Contractor is obligated to promptly transfer all event photos to the Photographer upon the event's conclusion. If the Contractor utilized personal memory cards, these must be made accessible for immediate download by the Photographer upon the event's completion. Furthermore, the Photographer will provide memory cards to the Contractor for use during the event, and it is the Contractor's responsibility to promptly return all memory cards, both used and unused, to the Photographer at the conclusion of the event.
It is crucial to note that as stipulated in Paragraph 4, the Contractor will only receive payment for their services upon the successful handover of all event photos and/or memory cards to the Photographer.
Please ensure that all parties involved fully comply with these terms to facilitate a smooth and professional exchange of materials and payment.

6.Professional Agreement Terms


As a Kay - Rae Photography contractor, it is important to understand and adhere to the following copyright agreement. All images produced during the contracted event are the exclusive property of Kay - Rae Photography. The contractor is prohibited from selling any of these images without explicit written permission from Kay - Rae Photography.


However, Kay - Rae Photography grants the contractor permission to utilize the images for their professional portfolio in the following ways:

  • Immediate usage in print portfolio

  • Usage on websites, including but not limited to blogs, Facebook, and Twitter, after a period of six (6) weeks from the date of the event, and only if permission has been obtained from the client(s)

  • Web use must include an accompanying "Photographed for Kay- Rae Photography" credit line

It's crucial to understand that any usage beyond these specified terms is strictly prohibited. By respecting these guidelines, we can maintain professional integrity and uphold the contractual agreement between both parties.

7. EXCLUSIVITY:


As an independent contractor hired by Kay - Rae Photography, you are expected to uphold the professional standards and represent the brand to the highest degree. While undertaking assignments for Kay - Rae Photography, contractors are required to exclusively promote and distribute Kay - Rae Photography’s business cards, name, and marketing materials. It is paramount that contractors abstain from advertising their personal businesses or soliciting work for themselves during their direct engagement with Kay - Rae Photography.
Moreover, when not working directly for Kay - Rae Photography, contractors are free to pursue other photographic opportunities for themselves or other studios, providing that these engagements do not directly compete with Kay - Rae Photography's services or encroach upon its client base. Furthermore, contractors are expressly prohibited from soliciting or targeting Kay - Rae Photography’s clients, either through direct or indirect means.


This agreement acknowledges the mutual understanding that contractors represent Kay - Rae Photography exclusively while working on assignments for the brand and respects the boundaries to prevent any conflicts of interest.

8. CONFIDENTIALITY:

Contractor acknowledges and agrees that all materials, price lists, contracts, financial documents, agreements, and any other information or documents provided in the scope of their assignments are the exclusive property of Kay - Rae Photography and are deemed privileged and confidential. The Contractor shall not disclose this information to any other party or utilize it to the detriment of Kay - Rae Photography in any manner.

9. LIABILITY CLAUSE

Contractor's Liability
The Contractor warrants that he/she is solely responsible for any loss or financial liability incurred by Kay - Rae Photography as a result of a failure to perform, with the exception of a well-documented medical emergency or an "Act of Nature."


Photography Equipment
Kay - Rae Photography is not responsible for any loss or damage to the Contractor’s equipment as outlined in this contract.


This clause ensures that both parties understand their respective responsibilities and liabilities, helping to protect the interests of both Kay - Rae Photography and the Contractor.

10. RESPONSIBILITIES OF CONTRACTOR'S EQUIPMENT


As per the ters set by Kay - Rae Photography for professional contractors, the contractor is obliged to provide all necessary equipment for the successful completion of their assignments. This includes the requirement for the contractor to provide their own media cards for photography purposes in instances where Kay - Rae Photography does not supply them.


USAGE OF RAW FORMAT:
It is mandatory for all wedding photography to be captured in RAW format. This is to ensure the highest quality of images and facilitate the post-production process.


HANDLING OF MEDIA CARDS
Contractors are prohibited from deleting any images from their media cards during the event until the cards have been downloaded and backed up by Kay - Rae Photography. This precaution serves to mitigate the risk of potential file corruption and ensures the preservation of original content.


COPYING AND DOWNLOADING ORIGINAL FILES
Upon the completion of the contracted job, all original digital files will be copied and downloaded by Kay - Rae Photography. This step is essential to maintain a secure backup of the content produced during the assignment.


RETURN OF MEDIA CARDS
Once the files are successfully downloaded and backed up by Kay - Rae Photography, the media cards used by the contractor containing the original images will be returned to Kay - Rae Photography.


USAGE OF CONTRACTOR'S PHOTOS
In the event that the contractor uses a second card slot, any photos captured on their media cards may be used at the contractor's discretion, in accordance with the Copyright and Reproduction Rights policy stated separately.


These guidelines ensure a smooth and organized workflow, as well as the protection of valuable photographic content.

11. CLIENT INTERACTION/ Communication:


In order to maintain a streamlined and professional approach to client interactions, it is imperative that all contractors strictly adhere to the established policy. Specifically, contractors are expected to refrain from initiating any direct contact with the client both prior to and following the event or wedding day.
All communication, including inquiries, clarifications, and follow-ups, must be exclusively conducted through Kay - Rae Photography. This protocol has been implemented to ensure a consistent and cohesive experience for our clients, reinforcing the professional image of our brand.


By complying with this communication policy, contractors play a vital role in upholding the high standards of service delivery and client care that are synonymous with Kay - Rae Photography.

12. WEDDING DAY CONDUCT:

Professional Dress Code and PunctualityAt Kay - Rae Photography, we hold ourselves to the highest standards of professionalism in every aspect of our work. Our contractors are expected to embody this commitment by adhering to specific guidelines.

Dress Code

When representing Kay - Rae Photography, our contractors are required to dress in appropriate, all-black attire, projecting a polished and professional image. This dress code ensures that our team presents a cohesive and sophisticated appearance, enhancing our overall brand image.

Punctuality

Punctuality is a crucial aspect of our service delivery. Our contractors are expected to arrive on time for scheduled appointments, as timeliness reflects our commitment to efficiency and reliability. It is essential that any delays are communicated promptly to our team at Kay - Rae Photography. Delays due to unforeseen circumstances should be reported as soon as possible, demonstrating a proactive and responsible approach to managing unexpected challenges.

Communication Protocol

In the rare event of an emergency or unforeseen delay, it is imperative for our contractors to immediately contact Kay - Rae Photography. Effective communication ensures that we can swiftly address any issues and take appropriate action to minimize disruption to our clients and projects.
By upholding these standards, our contractors contribute to the overall client experience and reinforce our reputation for professionalism and excellence.

13: Event Photography Contract

Contractor Obligations:


1. Punctuality: Contractor is required to arrive no later than fifteen (15) minutes before the contracted start time stated by Kay - Rae Photography. Timeliness is essential to ensure smooth coordination and preparation for the event photography.
2. Equipment and Supplies: Contractor is expected to provide his/her/its own equipment and supplies, including media cards. This includes all necessary gear for capturing high-quality images throughout the event.
3. Duration of Coverage: Contractor is responsible for capturing images for the scheduled duration of the event as specified by Kay - Rae Photography. It is imperative to adhere to the designated time frame to ensure comprehensive coverage of the event.
4. Image Delivery: Contractor is required to deliver the event images (RAW) to Kay - Rae Photography following the end of the event. Timely submission of high-quality, unprocessed images is essential to facilitate the subsequent stages of image processing and delivery.
5. Professionalism: Contractor must capture high-quality images in a professional manner in keeping with industry standards. This includes adhering to ethical photography practices, maintaining a professional demeanor, and ensuring that the images reflect the essence and significance of the event.
By entering into this agreement, the Contractor acknowledges and agrees to abide by the aforementioned obligations and fulfill the requirements set forth by Kay - Rae Photography.

Subject: Professional Photography Services Agreement
As per the terms of this agreement, it is imperative that the Contractor, in providing photography services on the specified event day, ensure the delivery of images in a professional manner. Any failure to deliver images or to perform the services at a standard falling below professional norms shall be deemed as a substantial breach of the contract.
In the event of such a breach, the Contractor should be prepared to bear the consequences, which may include but are not limited to:

  • Full or partial waiver of the Contractor's fee relevant to that event

  • Reimbursement to Kay-Rae Photography for any client refunds necessitated by the Contractor's actions or oversights

  • Covering the costs associated with rectifying the situation, such as engaging a third-party company for additional editing, color correction, or file restoration

It is understood that Kay - Rae Photography expects the delivery of high-quality work that meets professional standards, and the Contractor's failure in this regard may result in financial implications.
This clause is crucial to safeguard Kay - Rae Photography commitment to delivering superior service to its clients and to uphold professional standards at all times.


Your careful consideration and compliance are appreciated to ensure a successful partnership.

Completion and submission of the following form denotes acceptance of all the terms listed above, and formal acceptance of this assignment as an Independent Contractor. By writing my name in the section below, I am digitally signing this form and agreeing to all the terms.

The agreement serves as the complete understanding between the involved parties. Any alteration to this agreement must be documented in writing and endorsed by both parties. In the event that a provision of this agreement is deemed invalid, the remaining terms of the agreement will continue to be valid and enforceable.
